Terms of Service
The deal.
Short version: Tally is a personalized intelligence platform for your investing. We connect to your brokerage in read-only mode, surface patterns and math about what you're doing, and let you compare with people you choose. We're not a financial advisor and we're not a broker. Be decent. Don't break it. We'll do the same.
1. What Tally is
Tally is a service that connects to one or more of your investment accounts through SnapTrade (a third-party brokerage aggregation service) and uses the resulting data to give you a personalized intelligence layer about your own investing. That includes:
- Daily and weekly dispatches summarizing your recent contributions, trades, and patterns
- Ask Tally — a chat interface for asking questions about your portfolio and getting math-based answers grounded in your own data
- Goals, plans, challenges, and competitions you can run with people you invite
- Personal-records math (best streaks, biggest contribution months, etc.) computed from your transaction history
- Optional comparison surfaces where you and people you've invited can see each other's aggregate or detailed activity, based on the visibility setting of each shared surface
2. What Tally is not
- Not a Registered Investment Advisor. Tally does not give you personalized investment advice. Nothing in a dispatch, an Ask Tally response, an insight, a plan, or any other output is a recommendation to buy, sell, or hold any security. All outputs are descriptive — they tell you what you did, what happened, or what the math says — not what you should do next. Consult a licensed advisor for advice.
- Not a Broker-Dealer. Tally cannot execute trades. The SnapTrade integration is read-only. Trades placed at your brokerage are between you and your brokerage; Tally observes them after the fact.
- Not a tax service.Snapshots, personal-record math, and dispatch numbers are approximations for accountability and pattern-recognition purposes. They are not tax statements. Use your brokerage's official tax documents for anything tax-related.
3. AI-generated content
Many surfaces on Tally — dispatches, Ask Tally answers, insights, recap emails — are generated by an AI model (currently provided by Anthropic) using your own portfolio and transaction context. AI outputs may contain errors, omissions, or misinterpretations. We apply safety filters and prompt-engineering safeguards, but we cannot guarantee any AI output is accurate or complete.
You should verify anything that matters against your brokerage statements and your own judgment. AI outputs are not professional advice of any kind.
4. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is greater), to use Tally. One account per person. Don't impersonate anyone else, and don't create accounts for other people without their explicit permission.
5. Your account
You're responsible for keeping your password safe and for any activity that happens under your account. Use a strong password and enable two-factor authentication at your brokerage. If you suspect someone else got into your account, reset your password from /forgot-password or email us right away.
6. Acceptable use
You agree not to:
- Harass, threaten, defraud, or otherwise mistreat people you're paired with on any shared surface
- Manipulate snapshots, transactions, or other inputs to mislead people you're competing with
- Impersonate another user or attempt to access accounts that aren't yours
- Scrape, crawl, or automate any part of Tally without our explicit written permission
- Reverse engineer, decompile, or attempt to extract source code or model behavior from any part of the service
- Test the security of the service without prior written authorization — if you find a vulnerability, email us instead of poking at it
- Use the service to violate any applicable law or regulation, or in any way that interferes with other users
7. AI and data limitations
Model outputs may be wrong. SnapTrade data may be delayed or incomplete. Market data is provided by third parties and may contain errors. You should not rely on any output from Tally as the sole basis for any investment, tax, legal, or financial decision. Always consult licensed professionals when those decisions matter.
8. Termination
You can delete your account at any time from settings. We can suspend or terminate your account if you violate these terms, if we're required to by law, or if we discontinue the service. We aim to give reasonable notice when we can, but we may act immediately for serious violations.
9. Modifications
We may update these terms from time to time. When material changes happen, we'll bump the version string at the bottom of this page, and you'll be re-prompted to accept the new version the next time you visit Tally. Continued use after acceptance is your agreement to the new version.
10. Limitation of liability
The service is provided as is and as available, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Tally and its operators are not liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service. This includes — without limitation — losses from investment decisions you make, whether or not you used Tally as input.
In any case, our total liability for any claim arising out of or related to the service is capped at the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
11. Indemnification
You agree to indemnify and hold harmless Tally and its operators from any claim, demand, or liability — including reasonable legal fees — arising out of your breach of these terms, your misuse of the service, or your violation of another party's rights.
12. Governing law and disputes
These terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. You and Tally agree to attempt to resolve any dispute informally first by contacting hello@tallyup.live and giving us thirty (30) days to respond before initiating any formal proceeding.
[Lawyer review pending] Whether to include a binding arbitration clause and a class-action waiver is deferred to legal counsel review before public launch.
13. Third-party services
Tally depends on third-party services to function — listed in our Privacy Policy. We don't control those services and aren't responsible for their availability, accuracy, or actions. If a third party (e.g., your brokerage, SnapTrade, or our AI provider) experiences an outage or behaves unexpectedly, parts of Tally may not work until they recover.
